Welcome to KOLSprite Services

This KOLSprite User Service Agreement (hereinafter referred to as “this Agreement”) is entered into by and between Chengdu Yunya Information Technology Co., Ltd. (hereinafter referred to as “Yunya Technology” or “we”) and you regarding the use of KOLSprite-related services.

Before registering to accept this Agreement, you should carefully read and fully understand the contents of each clause and the KOLSprite Privacy Policy, especially the clauses that limit or exempt us from liability, legal application, and dispute resolution (these clauses will be displayed in bold). If you cannot accurately understand any clause of this Agreement, please do not proceed and contact our customer service in a timely manner.

By filling in the information as prompted on the registration page, reading and accepting this Agreement, and completing the KOLSprite account registration, or by actually using this service in other ways permitted by KOLSprite, you indicate that you have fully understood and agreed to accept all the contents of this Agreement and various rules that KOLSprite has already published or may publish in the future, including but not limited to page displays, policies, announcements, operating procedures, or notices. We have the right to modify this Agreement and related rules from time to time as required by business needs, and will reasonably notify you through in-site notifications, pop-up prompts, or the contact information you have reserved before the modifications take effect. If you continue to use KOLSprite services after the revision takes effect, you will be deemed to have agreed to such revisions. If you continue to use KOLSprite services after this Agreement and rules are revised, you will be deemed to have agreed to such revisions.

Service Content

KOLSprite provides you with comprehensive e-commerce platform data services. These services may be optimized and updated according to user needs, and the specific content is subject to the content displayed on the KOLSprite website.

Account Registration and Use

Account Registration

To create an account and use this service, you must:

• Have full capacity for civil conduct. If you are a natural person without full capacity for civil conduct, you and your guardian shall bear all consequences arising therefrom in accordance with the law.
• Provide your mobile phone number, a valid email address, and any other information we require to complete your account registration process.
• Provide us with one or more payment methods. “Payment Method” means a currently valid and acceptable payment method, which may be updated from time to time and may include payments made through accounts you have opened with third parties.
• Create your account manually. If you register a KOLSprite account on behalf of a legal entity or other organization, you promise that you have obtained sufficient written authorization from the legal entity or other organization you represent in advance, and such legal entity or other organization will be bound by this Agreement.
• You understand and acknowledge that using KOLSprite’s services requires registering a KOLSprite account. You can register and obtain a KOLSprite account by filling in the relevant information according to the website prompts. You promise that the information you submit to KOLSprite is true, legal, accurate, and valid.

Account Use

1. After your account registration is completed, you can use your registered account and password to log in to the KOLSprite website.
2. You understand and acknowledge that you should properly keep your account information and ensure that you do not provide account information to anyone, otherwise you will bear all losses arising therefrom.
3. You understand and agree that your account is limited to your own use. We will only ask you to provide relevant information when it involves your account security. If you have any doubts about this, please actively contact our official customer service before providing it.
4. You understand and agree that if there are any violations of the original intention of establishing KOLSprite sub-accounts, such as group purchases, renting and selling sub-accounts, KOLSprite has the right to refuse certification or terminate the “certified” account.
5. Please be sure to keep your account information safe and be fully responsible for all activities carried out using that account information. Unless otherwise stipulated by law, judicial ruling, or with the written consent of KOLSprite, you shall not lend, transfer, or provide the account to any third party other than yourself in any way, otherwise KOLSprite has the right to take measures including but not limited to restricting functions, suspending services, canceling the account, and demanding compensation for losses to pursue your liability for breach of contract.
6. If you find any unauthorized login or other circumstances that may affect your account security, please contact us in a timely manner and authorize us with relevant information to maintain your account security. You shall bear the losses of your account not caused by KOLSprite’s gross negligence.

Service Fees

You understand that Yunya Technology has paid a lot of costs for the operation of KOLSprite, so some KOLSprite services are provided to you for a fee. You understand and agree that the rules for charging items, charging standards, charging methods, etc. displayed on KOLSprite may be modified or changed from time to time, and the specific content is subject to the display on KOLSprite. If you do not agree to such modifications or changes, you should stop using KOLSprite services.

Subscription

1. You understand and agree that if you subscribe to the KOLSprite package through a credit card, the automatic renewal service will be enabled by default. The fee will be automatically deducted after each billing cycle expires. At the latest, one day before the end of each billing cycle, you can cancel it yourself in [Personal Center]. Canceling automatic renewal will not affect the paid membership rights that have been successfully activated.
2. If the automatic deduction fails, it will be deemed that the package has expired and the paid membership rights will be stopped.

Payment

1. After you pay to our company, you agree to accept KOLSprite’s services and can enjoy all membership rights stipulated by KOLSprite during the contract period.
2. You understand and agree that, unless otherwise stipulated by laws and regulations or otherwise agreed by both parties, service fees are non-refundable once paid. However, if we are in material breach of contract, or in the event of a cooling-off period stipulated by law or the Consumer Rights Protection Law, you have the right to apply for a refund.

Statements and Commitments

1. You promise that the information you provide to us during the registration and use of KOLSprite is true, accurate, legal, and valid, otherwise you shall bear all responsibilities arising therefrom.
2. You promise that in the process of using KOLSprite, you shall abide by the provisions of laws, regulations, rules, and rules issued by KOLSprite from time to time, and shall not use KOLSprite to engage in any illegal or profitable activities.
3. You can share and exchange information on the KOLSprite platform, but you must ensure that the information you share on the KOLSprite platform complies with laws, regulations, and the requirements of this Agreement, otherwise you shall bear all responsibilities arising therefrom, and we have the right to delete such information.

Intellectual Property

The intellectual property rights of the content provided by KOLSprite (including but not limited to web pages, text, pictures, audio, video, charts, etc.) and the software on which the platform relies, unless otherwise agreed or stated, belong to KOLSprite. Without the written permission of KOLSprite or the relevant rights holders, no one may use or create related derivative works in any form.

In the process of using KOLSprite services, you can provide content to KOLSprite through publishing, commenting, etc. (including but not limited to text, pictures, audio, video, charts, etc.). In such cases, you enjoy complete intellectual property rights to such content. At the same time, you must bear all responsibilities related to this content. You grant KOLSprite a worldwide, non-exclusive, sublicensable, royalty-free license to use, copy, disseminate, modify, compile, sublicense, create derivative works, publish, and perform such content solely for use on the KOLSprite platform and related publicity and promotion, and shall not violate laws and regulations and your other legitimate rights and interests.

Liability for Breach of Contract

Unless otherwise stipulated in this Agreement, if you violate this Agreement or the commitments, it constitutes a breach of contract. KOLSprite has the right to take one or more measures at its own discretion without notice, including but not limited to:

• Suspending or terminating the provision of services;
• Requiring you to compensate KOLSprite for all direct or indirect losses arising therefrom, including losses arising from third parties holding KOLSprite accountable;
• Requiring you to bear liability for breach of contract.

Disclaimer

You understand that in the process of using KOLSprite services, you may encounter risk factors such as service interruption, failure, obstacles, delays, periodic system upgrades, or force majeure, which may cause the service to be interrupted or terminated. You agree that KOLSprite is not responsible for service interruption or termination caused by any of the following circumstances:

(1) Encountering force majeure. Force majeure refers to objective events that cannot be foreseen, overcome, or avoided and have a significant impact on one or both parties, including but not limited to natural disasters such as floods, earthquakes, epidemics, and storms, as well as social events such as wars, riots, government actions, legal or policy adjustments, and platform rule adjustments;

(2) Being damaged by computer viruses, Trojans, or other malicious programs, or hacker attacks;

(3) KOLSprite or your computer software, system, hardware, and communication lines malfunction;

(4) Your improper operation;

(5) You use this service in a manner not authorized by KOLSprite;

(6) Other uncontrollable or reasonably unforeseeable circumstances.

You understand and agree that the content of KOLSprite’s services may contain errors, and KOLSprite cannot guarantee the accuracy, completeness, absolute security of the content, and the effect of your use of KOLSprite services. The risks and responsibilities directly or indirectly arising from your use of KOLSprite services shall in principle be borne by you. However, we will still bear corresponding responsibilities in accordance with the law if your losses are caused by our intentional or gross negligence. If there are content errors, you can contact us in a timely manner to correct them.

Information Protection

KOLSprite values your personal information protection. KOLSprite will collect, store, disclose, and use your personal information in accordance with the KOLSprite Privacy Policy. You confirm that you have fully understood and agreed to the terms of the KOLSprite Privacy Policy.

Other

1. All clause titles in this Agreement are for reading convenience only and have no actual meaning in themselves, and cannot be used as the basis for interpreting the meaning of this Agreement.
2. If any part of this Agreement is invalid or unenforceable for any reason, the remaining clauses shall remain valid and binding on both parties.
